These Terms of Service (the "Terms") govern your use of Liro, the AI marketing service operated by PixelMakers Studio SRL, a company incorporated in Romania, registered office at Ion Campineanu 23, Sector 1, Bucharest, Romania, VAT number RO43917962 ("Liro", "we", "us", or "our"). Liro is a brand of PixelMakers Studio SRL.
By creating a workspace, joining one, or using any part of Liro, you agree to these Terms. If you accept on behalf of a company or other legal entity, you confirm that you have authority to bind that entity, and "you" means that entity.
Liro is a business tool. It is sold to businesses, freelancers, and agencies acting in the course of their trade, and it is not intended for consumers. If you are a consumer under applicable law, do not use Liro.
1. The agreement
1.1 What forms the agreement
These Terms, together with the documents listed below, form the entire agreement between you and Liro:
- The Privacy Policy, which explains how we handle personal data.
- Our Data Processing Agreement, available on request, which governs personal data that we process on your behalf.
- The plan and pricing information published on getliro.com and shown in the app, which sets out the fees, credit allowances, and limits of each plan.
- Any order form, quote, or written contract signed between you and us, which prevails over these Terms to the extent of any conflict.
1.2 Definitions
"Service" means Liro as we operate it: the web app, its AI features and agents, the review links and reports it produces, signup forms, our APIs, and the features described in section 2.
"Workspace" means the account you create in Liro, including its members, brands, data, connections, and billing relationship.
"Brand" means a business, product, or client that a Workspace runs marketing for in Liro.
"Your Content" means everything you or your members put into the Service or generate through it: websites you add, brand kits, uploads, drafts and published content, creatives, email templates, contacts, and settings.
"Connected Account" means an account you own or manage on another platform, such as a Facebook Page, an Instagram account, an ad account, or Google Analytics, that you connect to Liro.
"Credits" means the unit in which AI work in Liro is measured and billed, as described in section 4.
"Fees" means the subscription fees, credit purchases, overage charges, and other amounts payable to us under section 4. Money you pay to advertising platforms is not a Fee.
2. What Liro is, and what it is not
2.1 The Service
Liro works as a marketing department for your brands. Starting from a website address, it can learn a brand, propose a strategy and a content calendar, research and write content, design creatives, publish to social channels, run email marketing, prepare and manage ads, analyze results, and run AI agents that do recurring work. Which features you have depends on your plan and on which accounts you connect.
We may add, change, or remove features. Section 12 explains how we handle changes that materially reduce what you already rely on.
2.2 You are the publisher, the sender, and the advertiser
Liro acts on your instructions. Everything published to your channels, every email sent to your contacts, and every ad run on your ad accounts is published, sent, or run by you, under your name, and you are responsible for it as if you had done it by hand. We are not a party to your relationships with your customers, your contacts, your clients, or the platforms you use.
2.3 We do not give professional advice
Liro does not provide legal, tax, financial, medical, or regulatory advice, and it does not guarantee marketing results such as traffic, rankings, followers, leads, or revenue.
3. Your Workspace and your account
3.1 Eligibility
You must be at least 18 years old and able to enter into a binding contract. You must give accurate registration and billing information and keep it current. We may verify your identity and your business, and we may refuse or close a Workspace if we cannot.
3.2 The Workspace owner
Each Workspace has an owner: the person who created it, or the entity on whose behalf it was created. If you register with an email address belonging to your employer, the employer is the owner. The owner controls the Workspace, including billing, members, connections, and closure.
If we receive competing claims to a Workspace, we may freeze it until the claimants resolve the dispute between themselves or provide a court order or other satisfactory evidence.
3.3 Members and roles
Your plan includes a number of seats. Each seat is for one named person and must not be shared. Members can be owners, admins, members, or reviewers, and reviewers see only the brands they are invited to. You are responsible for everything done through your Workspace, including by your members, your clients' reviewers, your agents, and anyone using your credentials. Remove access promptly when someone leaves, and tell us without delay if you suspect that credentials have been compromised.
3.4 Agencies and clients
If you use Liro to serve clients, you may create a Brand for each client, invite client reviewers, share review links and reports, and present the work under your own brand where your plan allows it. You must have your clients' authority for everything you do on their behalf, including connecting their accounts, adding their contacts, and publishing, sending, or spending for them. Your clients are your customers, not ours. You may not resell or sublicense access to the Service as standalone software.
3.5 Notices
We send operational and legal notices to the email addresses registered on your Workspace, and we may also show them in the app. Keep at least one monitored address on file. Notices to us go to hello@getliro.com.
4. Plans, Credits, and fees
4.1 Plans and the trial
The Service is sold as a subscription per Workspace, billed monthly or yearly in euros. Each plan includes a monthly Credit allowance and sets limits such as the number of Brands, seats, and email contacts. Current plans, prices, and limits are published on getliro.com and in the app, and form part of these Terms. Limits are enforced in the product: when one is reached, the relevant action is blocked until you upgrade or reduce usage.
New Workspaces may start with a free trial. Its length and allowances are shown at sign-up. No payment method is needed for the trial, and when it ends without a plan your Workspace stays readable but AI work, publishing, and sending stop until you choose one. We may change or withdraw the trial at any time for new Workspaces.
4.2 Credits
Credits measure AI work, such as research, writing, design, image generation, analysis, and agent runs. The number of Credits an action uses depends on the work it actually took. Your usage, balance, and a log of activity are shown under Settings → Billing → Usage.
- Plan Credits are renewed each billing period and do not roll over.
- Purchased Credits from top-up packs are valid for 12 months from purchase. We use Plan Credits first.
- Overage. You choose what happens when your Credits run out: Liro stops (a hard cap), or it continues and the extra Credits are billed at the published overage rate at the end of the period, up to a spending limit you set. You can also turn on automatic top-ups.
Credits have no cash value, cannot be transferred between Workspaces, and are not refunded when unused.
4.3 Subscription fees and changes
Subscription fees are charged in advance from the date you subscribe and renew automatically at the end of each period at the then-current price, unless canceled beforehand under section 14.2. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing period, and any limit you exceed is enforced from that point. Extra Brands beyond your plan's allowance, where available, are billed monthly at the published rate.
4.4 Payment and failed payments
You must keep a valid payment method on file and you authorize us, through Stripe, to charge it for all Fees when they fall due. If a payment fails, we will retry it and notify you. If Fees remain unpaid 14 days after the due date, we may restrict features, and 30 days after the due date we may suspend the Workspace, with at least 7 days' notice except where we suspect fraud. Suspension does not cancel the debt.
4.5 Taxes
Fees are exclusive of VAT and other taxes, and you are responsible for all taxes on the Fees other than taxes on our income. Where you are a business established in the EU outside Romania and provide a valid VAT number, we apply the reverse charge. Where required, we issue invoices through the Romanian electronic invoicing system.
4.6 Price changes
We may change prices, plan limits, Credit allowances, and usage rates. We will give at least 30 days' notice by email before a change takes effect for you, and it applies from your next renewal after the notice period. If you do not accept the change, you may cancel before it takes effect. Prices set in a signed contract do not change during its term.
4.7 Refunds
Fees are non-refundable except where required by law or where these Terms say otherwise. If you cancel mid-period, you keep access until the end of the period you have paid for. Overage and Credit purchases reflect work already done or bought and are not refundable. We may refund at our discretion where we have made a billing error.
5. Connected Accounts and other platforms
5.1 Your authority
By connecting an account, you confirm that you own it or are authorized to manage it, and you authorize Liro to read from it and act on it within the permissions you grant, for the features you use. You can disconnect it at any time.
5.2 Platform terms apply
Each platform's own terms and policies apply to your use of it through Liro, including Meta's Platform and Commercial Terms, Google's terms and policies, and those of LinkedIn, X, TikTok, Pinterest, Shopify, and the others you connect. You must follow them. Platforms can change their APIs, reject or remove content, limit features, or suspend accounts at any time. We will work to keep connections reliable, but we are not responsible for what a platform does, and a platform's action is not a breach of these Terms by us.
5.3 Advertising
Ad spend is charged to you by the advertising platform on your ad account, under your agreement with that platform. It is not a Fee and does not pass through us. Liro creates campaigns paused and starts spending only after a person in your Workspace approves it. You are responsible for your budgets, targeting, ad content, and compliance with advertising law and platform policies, including any special rules for political, social issue, housing, employment, credit, health, and financial ads.
6. Approvals, agents, and autonomy
By default, publishing, sending email, and ad spend wait for a person in your Workspace to approve them. You can change how much Liro does on its own, for example by running agents on a schedule or turning on autopilot for some actions. Where you do, you are responsible for what Liro does, exactly as you would be for a member of your staff. Set approvals, schedules, and limits to match the autonomy you actually want to grant. We provide the controls; choosing them is your decision.
7. AI output
7.1 Output is a draft, not a fact
AI output can be wrong, incomplete, out of date, or similar to content produced for others, and it can be wrong in ways that look convincing. Review anything before you publish, send, or rely on it. That applies with particular force to factual and product claims, prices and offers, comparisons with competitors, health, financial, and legal statements, and anything you are legally required to state accurately. We do not warrant that output is accurate, original, or fit for any purpose, and we are not liable for what you publish or decide on the basis of it.
7.2 Inputs and outputs
To provide the Service we send your instructions and the relevant context to AI model providers acting as our sub-processors. We do not use Your Content to train AI models, and our providers do not train on it either. As between you and us, you own the output Liro produces for you, subject to the fact that AI output is not always original or protectable, and to the rights of third parties in material such as stock photos.
7.3 Stock photos and generated images
Stock photos come from Unsplash under the Unsplash License, which allows commercial use but does not cover trademarks, logos, recognizable people, or property for every purpose. Where a photo shows a person, a brand, or private property, check that your use is appropriate. Generated images must not imitate a real person, a living artist's distinctive style in a misleading way, or a brand you do not own.
7.4 Disclosure
Where the law or a platform requires you to disclose that content was made or altered with AI, making that disclosure is your responsibility.
8. Email marketing
You are the sender of every email you send through Liro, and you must comply with the laws that apply to it, including the GDPR, the ePrivacy rules and their national implementations, CAN-SPAM, and CASL. In particular:
- Only add contacts who have agreed to receive your emails, or whom the law otherwise allows you to email, and keep records of that consent. Do not use purchased, rented, or scraped lists.
- Signup forms in Liro use double opt-in. Do not work around it.
- Every marketing email includes an unsubscribe link and your postal address, and unsubscribes take effect immediately. Do not re-add people who have unsubscribed, bounced, or complained.
- Send from a domain you control and have authenticated as Liro instructs.
We monitor bounce and complaint rates and may pause sending, require a review of your list, or suspend email features where they put deliverability or our sending reputation at risk.
9. Acceptable use
You must not use Liro, or allow anyone to use it, to:
- Publish, send, or advertise anything unlawful, defamatory, harassing, hateful, sexually explicit, violent, or that infringes someone else's rights.
- Deceive people: fake reviews or testimonials, impersonation of a person or brand, undisclosed paid endorsements, false or misleading claims, or content designed to mislead voters.
- Promote prohibited or heavily regulated goods and services, such as weapons, illegal drugs, gambling where it is not licensed, or financial schemes, except as the law and the relevant platform allow.
- Send spam, or run engagement manipulation such as fake accounts, artificial likes, or follow schemes.
- Add websites or connect accounts that you have no right to work on. Analyzing competitors from public information is allowed.
- Attack, probe, overload, or circumvent the Service or its limits: no malware, no scraping or automated access beyond our APIs, no reverse engineering, no sharing of accounts to avoid seat limits, and no repeated trials to avoid paying.
- Use the Service or its output to build a competing product or to train an AI model.
- Use the Service in breach of the usage policies of our AI model providers.
We may remove content, block an action, or suspend a Workspace that breaks these rules, as set out in section 13.
10. Your Content, our Service, and intellectual property
10.1 Your Content is yours
You own Your Content. We claim no ownership over it. We access it only to run the Service, to provide support you ask for, to investigate a suspected breach of these Terms or a security incident, or where the law requires it. You can export your content and contacts from the app at any time.
You must have the rights to the content you upload and to the websites and accounts you add, including images and text supplied to you by others.
10.2 The license you grant us
You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, adapt, and display Your Content to the extent needed to operate and support the Service and provide the features you use, including publishing to your channels and showing review links and reports to the people you share them with. The license ends when you delete the content or close your Workspace, subject to section 14.4.
We may generate and use aggregated, de-identified statistics about how the Service is used, for capacity planning and product improvement, provided the results do not identify you, your Brands, or your contacts.
10.3 The license we grant you
For as long as your subscription or trial is active and you comply with these Terms, we grant you a non-exclusive, non-transferable, revocable right to use the Service for your own marketing and, under section 3.4, your clients' marketing.
We own the Service, including its software, interfaces, designs, templates, prompts, skills, agents, documentation, and brand assets. The names "Liro" and "PixelMakers" and our logos are ours. Nothing in these Terms transfers them to you.
10.4 Feedback
If you send us ideas or suggestions, we may use them without restriction and without owing you anything. This does not give us any right to Your Content.
10.5 Confidentiality
Each party may receive confidential information from the other, including business plans, pricing, technical information, and Your Content. It may be used only to perform under these Terms, must be protected with at least reasonable care, and may be shared only with people and subcontractors who need it and are bound to equivalent obligations. This does not cover information that is public through no fault of the recipient, was already known to it, is independently developed, or is lawfully received from a third party. Disclosure required by law is permitted, with prior notice to the other party where that is lawful.
10.6 Copyright complaints
If you believe content hosted on or published through Liro infringes your rights, write to hello@getliro.com with enough detail to identify the content, the right you hold, and your contact details. We will investigate and may remove content or suspend a Workspace where a complaint is well-founded.
11. Data protection and security
11.1 Roles
For personal data in your Workspace, including your contacts, the people in your content, and data from Connected Accounts, you are the controller and we are your processor. For data we hold about you as our customer, including account, billing, and support records, and for the security and abuse monitoring we run across the Service, we are the controller.
11.2 Data Processing Agreement
Our Data Processing Agreement governs our processing on your behalf and is available on request. It covers the subject matter and duration of processing, our instructions, confidentiality, security measures, sub-processors, assistance with data subject rights and impact assessments, incident notification, deletion and return, audits, and international transfers under the standard contractual clauses where required. It applies from the date you enter into these Terms.
11.3 Sub-processors
We use sub-processors to run the Service, including hosting, database, email delivery, payments, and AI providers. The current list is published in our Privacy Policy. We will give notice before adding a sub-processor that processes your personal data, and you may object on reasonable data protection grounds. If we cannot resolve the objection, you may terminate the affected service without penalty.
11.4 Security and incidents
We maintain technical and organizational measures appropriate to the risk, including encryption in transit, encryption of stored credentials, workspace isolation, role-based access, and least-privilege internal access. If we become aware of a personal data breach affecting Your Content, we will notify you without undue delay and in any event within 72 hours, and we will support your own notification obligations.
12. Availability, support, and changes
12.1 Availability and support
We aim for high availability, but except where a signed agreement says otherwise, the Service is provided without an uptime guarantee. We will give advance notice of planned maintenance where it is likely to be disruptive. Support is provided through the channels we publish, at the level your plan describes.
12.2 Changes to the Service
We update the Service continuously. Where we make a change that materially reduces core functionality you rely on, or remove a feature entirely, we will give at least 30 days' notice. If the change materially harms your use of the Service, you may terminate and receive a refund of prepaid subscription fees for the rest of the term.
12.3 Early access and beta
Liro is new. Features labeled beta, preview, or early access, and the Service as a whole during any early access period, are provided as is, may change or disappear, and should not be relied on for anything you cannot afford to have break. Sections 15 and 16 apply to them with full force.
13. Suspension
We may suspend your Workspace, or a feature of it such as publishing or email sending, without prior notice where there is a serious and immediate risk: a security incident, illegal content or conduct, spam or high complaint rates, activity that threatens the Service, our sending reputation, or other customers, a demand from a platform, regulator, court, or provider, or suspected fraud. Otherwise we will give notice and, where the issue can be fixed, a reasonable chance to fix it. We will keep a suspension as narrow and as short as the circumstances allow, and tell you what caused it unless the law or an investigation prevents us.
14. Term and termination
14.1 Term
These Terms apply from the moment you first use the Service and continue while your Workspace exists. Subscriptions run for the period you select and renew automatically until canceled.
14.2 Cancellation by you
You may cancel at any time from Settings → Billing, or by writing to hello@getliro.com. Cancellation takes effect at the end of the current billing period, and you keep access until then.
14.3 Termination by us
We may terminate these Terms and close your Workspace on 30 days' notice for convenience, with a refund of prepaid fees for the unused period; immediately for a material breach that cannot be fixed or that you have not fixed within 14 days of notice; for non-payment 30 days after the due date; immediately where required by law or where continuing would expose us or our providers to legal or security risk; or on 90 days' notice if we discontinue the Service.
14.4 What happens on termination
When your Workspace closes, access ends, scheduled posts, emails, and agent runs stop, and Liro disconnects your Connected Accounts. Your Content remains available for export for 30 days, unless we are legally required to delete it sooner. After that we delete it from live systems, and backups expire within 30 days. We keep what the law requires, such as invoicing records. Fees already incurred remain payable. Ads already running on your ad accounts are under your control on the advertising platform. Sections that by their nature should survive do survive, including sections 2.2, 4.5, 10, 11, 15, 16, 17, and 19.
15. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care and that it will materially conform to its published description.
Beyond that, and to the maximum extent the law allows, the Service is provided as is and as available, and we exclude all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that AI output will be accurate, or that your marketing will achieve any result.
We make no warranty about anything supplied by a third party, including the platforms you connect, AI model providers, stock photo libraries, and infrastructure providers.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, and for fraud.
16. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, business, goodwill, anticipated savings, or data, however caused, even if the possibility was known.
Our total liability under or in connection with these Terms, in aggregate across all claims, is limited to the Fees you paid us in the 12 months before the event giving rise to the claim, or 100 euros if you have paid us nothing. Ad spend and other amounts you pay to third parties do not count towards this limit.
These limits do not apply to your obligation to pay Fees, to either party's liability for fraud or willful misconduct, to death or personal injury caused by negligence, or to any liability that the law does not allow to be limited.
We are not liable for content you publish or send, for ad spend you approve or allow, for actions you allow agents to take, or for what a connected platform does with your content or account.
17. Indemnification
You will defend and indemnify us against claims, damages, penalties, and reasonable costs arising from Your Content, what you publish, send, or advertise through Liro, your clients' claims where you use Liro for them, your breach of these Terms or of a platform's terms, and your breach of applicable law, including marketing, consumer protection, and data protection law.
We will defend and indemnify you against a third-party claim that the Service, used as we intend and excluding Your Content, AI output, and third-party material, infringes that party's intellectual property rights. If such a claim arises, we may modify the Service, obtain a license, or terminate the affected part with a refund of prepaid fees.
Either party claiming indemnity must notify the other promptly, allow it to control the defense, and cooperate reasonably.
18. Changes to these Terms
We may change these Terms. For material changes we will give at least 30 days' notice by email and in the app before they take effect. Clarifications and corrections take effect when published. If you do not accept a material change, you may cancel before it takes effect and we will refund prepaid fees for the unused period. Continuing to use the Service after the effective date means you accept the change.
19. General
Governing law. Romanian law governs these Terms, without regard to conflict of law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Disputes. Talk to us first. Either party may start the process with a written notice describing the dispute, and both parties will try in good faith to resolve it within 30 days. If that fails, the courts of Bucharest, Romania, have exclusive jurisdiction. Either party may seek urgent injunctive relief in any competent court.
Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, including natural disasters, war, epidemics, government action, outages of infrastructure or platform providers, and large-scale internet disruption. This does not excuse payment obligations that have already fallen due.
Assignment. You may not assign these Terms without our written consent, which we will not unreasonably withhold. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets, provided the assignee assumes them. We may use subcontractors, and we remain responsible for their performance.
Independent parties. Nothing here creates a partnership, joint venture, agency, or employment relationship, and neither party may bind the other.
No third-party rights. These Terms benefit only you and us. Your clients, contacts, and other third parties acquire no rights under them.
Severability and waiver. If a provision is unenforceable, it is modified to the minimum extent needed to make it enforceable, or severed, and the rest continues. Not enforcing a right is not a waiver of it.
Language. These Terms are written in English. If a translation conflicts with the English version, the English version prevails.
